Submission Agreement

By submitting any photograph, image or video (collectively the “Image(s)”) to Corporate Counsel Women of Color, Inc. (“CCWC”), you hereby grant to CCWC, its affiliates and licensees, the exclusive irrevocable right to reproduce, publish, display, transmit, prepare derivative works of, and otherwise use and exploit the Image(s) worldwide in any manner including, without limitation, editorial, commercial, promotional and trade uses, in any and all media now known or hereafter created; and hereby assign and transfer to CCWC all copyrights in and to the Image(s), including the right to copyright the Image(s) in the sole name of CCWC.

By submitting any Image(s) to CCWC, you hereby represent and warrant that you are the sole owner of the Image(s), have the right to grant the rights herein, and that the Image(s) does not infringe on any rights, including copyright, trademark rights, or any rights of privacy or publicity, of any third party.  CCWC acknowledges that it is responsible for obtaining any third party consents in connection with CCWC’s use and exploitation of the Image(s).

You acknowledge and agree that CCWC is under no obligation to post, display, publish, or otherwise use any Image(s) you submit, and CCWC may, in its sole discretion, remove, modify, edit, alter or amend any Image(s) you submit.  You hereby waive all rights in and to the Image(s), including any so-called droit moral rights.

You hereby release, discharge, indemnify and hold harmless CCWC, its affiliates, licensees, sponsors, directors, officers, employees, agents and assigns from and against any claims of any nature relating to or arising in connection with the rights granted to CCWC herein and/or any breach or threatened breach by you of any warranty or representation herein.

Any Image(s) submitted to CCWC shall be the exclusive property of CCWC and CCWC shall have no obligation to return, preserve or otherwise make available to you or any third party any Image(s); and you agree not to use or authorize any third party to use any Image(s) submitted to CCWC, in any manner or for any purpose, without CCWC’s prior written consent.  

Your submission of any Image(s) to CCWC shall constitute your agreement to the terms hereof.
